These Terms of Service (“Terms”) govern your access to and use of FlowState’s products and services, including our website and productivity platform (the “Service”), provided by FlowState, Inc. (“FlowState”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Use of the Service

You may use the Service only if you are 16 years of age or older and are not barred from doing so under applicable law. You must keep your account information accurate and not share your credentials with others. You are responsible for all activity occurring under your account. You agree not to use the Service to violate any applicable law, infringe any intellectual property rights, transmit spam or malicious code, or interfere with the integrity or performance of the Service.

2. Subscriptions and Billing

Some parts of the Service are billed on a subscription basis. You will be billed at the beginning of each billing period and each renewal period. All fees are exclusive of taxes. You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We reserve the right to change pricing with 30 days’ advance notice to existing subscribers.

3. Intellectual Property

The Service and its original content, features, and functionality are owned by FlowState, Inc. and are protected by international copyright, trademark, and other intellectual property laws. FlowState grants you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes. You retain all rights in Your Content (data, files, and information you submit to the Service), and you grant FlowState a license to use Your Content solely to provide the Service.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLOWSTATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF FLOWSTATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may delete your account at any time, and we will delete your data within 30 days after termination. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

6. Governing Law

These Terms shall be governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms shall be resolved exclusively in the state or federal courts located in San Francisco, California.
